Become a Vendor

INSURANCE
Each individual vendor setting up on the property is required to maintain a comprehensive general liability insurance policy for personal injury or death and for property damage during their time at the specific event. Insurance is required with minimum policy limits of one million dollars ($1,000,000.00). The policy must include naming The Silos at Happy 37750 S UH 87, Happy, TX 79042, its employees, agents, and volunteers as additional insured as it pertains to the insured’s participation in TSH Vendor Fairs.

DAMAGES

The client understands if damages occur including but not limited to the property, buildings, equipment, and rental items, TSH will assess the damage and email a photo and written quote to repair the damage, the client will have one business day to respond. After this period, the Client allows TSH to charge the card on file to collect for damages.

LICENSE, PERMITS, TAXES, FEES
The Vendor shall obtain, at his/her own cost, any license or permits as may be required by law, and shall pay all taxes, fees and charges prescribed by Federal, State, and local laws, ordinances, and regulations in connection with Vendor’s use of the premises.

PAYMENTS AND CANCELLATION POLICY
To secure your space for the event, a non-refundable fee of the total amount is required at the time of booking. Failure to complete payment may result in not obtaining a space at the vendor fair, as it is first come first serve. No refunds will be given within 30 days of event if a vendor has submitted payment and is unable to attend the event after payment has been submitted. We accept payments through our website, by debit or credit card. Credit card payments made over the phone or in person will incur a 3% processing fee. The Owner reserves the right to terminate this agreement for unforseen circumstances described below.
 

LIABILITY AND CANCELLATIONS
While we aim to deliver exceptional service, TSH cannot be held responsible for unforeseen circumstances beyond our control, such as inclement weather, flooding, fire, government restrictions, transportation issues, illness, accidents, labor disputes or strikes, Acts of God, and other causes outside of reasonable control. We are unable to provide discounts or refunds for any reasons listed above. TSH is not liable for any loss or damage to vehicle, equipment, merchandise, clothing, booths, exhibit materials, or any other property of the Vendor or Vendor’s agents, employees, patrons, or guests caused by theft, fire, weather, acts of God or any other cause of whatever nature. Please note that The Silos at Happy is not liable for any resulting damage or loss.

PROHIBITED PRACTICES

• No smoking/vaping is allowed on entirety of property including indoor and outdoor spaces

• No outside alcoholic beverages allowed on premises. If outside alcohol is found, it will be immediately confiscated and emptied

• No staples, nails, tape, string, or material of any kind adhered to surfaces of the property. Vendors will only be able to decorate their own tent, table, items of their possession

• No items permitted outside of the marked area for the client’s booth. All set up, exhibitions, merchandise, tables and chairs must remain inside of the marked area at all times

• No fires of any kind permitted, including candles

• Vendor space must be completely clean at end of event and clear of all trash, decorations, any rented equipment must be clean and remain in the numbered space

• Fabric of booth table must extend to the floor

• All 3 sides of your booth must be fully covered so the booth beside you is not visible

PHOTOGRAPHY/SOCIAL MEDIA
The Silos at Happy has the right to advertise and photograph any vendor prior to or during the event. These photographs, videos, and advertisements will be used for promotional purposes as well as for The Silos at Happy information for future events.
 

DAY OF EVENT INSTRUCTIONS
Vendors will be allowed on the property 2 hours prior to the event opening to allow for set up. Any vendor not in attendance strictly 1 hour prior to the event time will be considered a no show and the booth will be given away with no refund. No early booth take down will be permitted, vendors must stay and maintain their booth the entire duration of the event. No selling or renting of a booth/space to another seller. 

Vendors are allowed to bring their own tent, table, chairs, extension cords for use on the property as long as the items remain inside of the marked space. Electricity is provided, no other equipment will be provided by The Silos at Happy, unless a table is requested.

Parking: Attendants will assist with parking for day of event. Please see the map of the property to assist with arrival and looking for parking on South side of the property.

PROFESSIONALISM
All vendors and vendor’s associates on the property will act in a professional and courteous manner. No loud music shall be played by a vendor. Disruptive or rude behavior on site will not be tolerated. TSH reserves the right to ask any participant to leave at any time.
 

LEGAL FEES
In the event of a dispute that leads to legal action, the prevailing party shall be entitled to recover its legal fees, including but not limited to attorney's fees, collection fees, and related expenses.
 

EQUIPMENT
All rented equipment and décor remain the property of The Silos at Happy and must remain at the designated setup space. The Client is responsible for any theft, vandalism, misuse, or damage to the equipment caused by themselves or their guests. 

If a Vendor has an outdoor booth, tents must be staked down to prevent wind from causing damage or harm to others. TSH is not responsible for any damage or injuries resulting from equipment or vendors set up in outdoor spaces.

INDEMNIFICATION
The Renter agrees to indemnify and hold the Owner harmless against any injuries or damages of any kind related to the repossession of the equipment and any alleged breach of warranty, including consequential and special damages

MISCELLANEOUS
The client is responsible for any costs associated with travel to and from the event site. 

An active railroad borders the property, no attendee shall trespass on the train tracks. TSH is also not responsible for any disturbance or disruption caused by train traffic.

In case of breach, cancellation, or termination of this Vendor
contract prior to the event date, all payments made will be forfeited completely.
As the undersigned Client, I acknowledge and agree to the terms and conditions stated in this Agreement and assume full responsibility for prompt payment as per these terms.

PLEASE ALLOW 5 BUSINESS DAYS TO PROCESS YOUR APPLICATION. YOU WILL THEN RECEIVE CONFIRMATION FOR ACCEPTANCE TO OUR EVENT AND SPACE REQUESTED. WE LOOK FORWARD TO SEEING YOU!
